1. Scope of Application
These Terms and Conditions govern the use of the online platform “Showroom.fm” operated by Innsides Interiors UG (haftungsbeschränkt), Lübecker Straße 26, 10559 Berlin, Germany (hereinafter “Showroom.fm” or “Provider”). They apply to all contractual relationships between the Provider and users of the platform who are acting in a commercial or professional capacity
These Terms apply exclusively. Any terms and conditions of the user that deviate from or supplement these Terms shall not apply unless explicitly agreed to in writing.
2. Subject of the Agreement and Definitions
2.1 Showroom.fm is an online platform that enables registered commercial users—particularly furniture retailers, manufacturers, and agents (“Providers”)—to present products and physical showroom locations to the public. The platform helps Providers increase visibility for in-store furniture displays. End customers (“Consumers”) may subscribe to free email alerts about product availability or price reductions but cannot purchase products via the platform.
2.2 Showroom.fm does not offer a marketplace function. The platform does not facilitate or mediate contracts between Providers and Consumers. All commercial transactions occur outside the platform and at the sole responsibility of the Provider.
2.3 A “User” refers to any individual or legal entity who uses the services of Showroom.fm, including Providers and subscribed Consumers.
2.4 A “Provider” is a commercial User who registers on the platform and publishes listings or information about available products and their locations.
2.5 “Consumers” are not contractual parties under these Terms and cannot act as Providers. They may use the platform only for non-commercial purposes such as receiving email notifications.
2.6 “Content” includes all data, product listings, images, descriptions, and other media uploaded to the platform by Providers.
3. Registration and Contract Formation
3.1 Use of the platform as a Provider requires registration and creation of a user account. Only Users who qualify as businesses or professionals (entrepreneurs under Section 14 of the German Civil Code) may register.
3.2 By submitting the registration form, the User makes a binding offer to enter into a service contract with Showroom.fm. The contract is concluded when Showroom.fm confirms registration or activates the account.
3.3 Registration requires complete and truthful information. The User is obligated to keep all account data current and accurate. Incomplete or false information may result in account suspension.
3.4 Consumers may register separately for free email alerts without entering into a service contract as defined by these Terms.
4. Services and Fees
4.1 Providers may use the platform to list and display products along with showroom locations and availability. Manufacturers and agents may sponsor or promote individual retailers and products on the platform.
4.2 Use of the platform as a Provider is subject to a monthly fee, which is determined by the number of active product listings. The current pricing can be found on the platform’s pricing page.
4.3 All payments are due monthly in advance and processed via authorized payment providers (e.g., Stripe). Invoices are issued electronically.
4.4 Showroom.fm does not guarantee continuous availability or any specific features of the platform. Maintenance, updates, or technical issues may temporarily affect service availability.
5. Obligations of Providers
5.1 Providers must ensure that all content they upload complies with applicable laws and does not infringe on third-party rights, including copyright, trademark, data protection, and personality rights.
5.2 Providers must include a legally compliant company imprint (“Impressum”) in their public profile as required by applicable law.
5.3 Providers must not upload or publish any content that:

6. Rights of Use Granted to Showroom.fm
6.1 By uploading content, the Provider grants Showroom.fm a non-exclusive, worldwide, royalty-free, and sublicensable right to use the content for the operation and promotion of the platform for the duration of the contractual relationship.
6.2 This includes, in particular:

6.4 The Provider warrants that it holds all necessary rights to grant the above usage rights and agrees to indemnify Showroom.fm in the event of any legal claims by third parties.
7. Indemnification and Liability of Providers
7.1 The Provider shall indemnify and hold harmless Showroom.fm from any third-party claims arising from unlawful or infringing content, data misuse, or violations of these Terms.
7.2 This includes reasonable legal defense costs incurred by Showroom.fm.
8. Liability of Showroom.fm
8.1 Showroom.fm shall be liable for damages under statutory provisions in the event of:

8.3 Showroom.fm is not liable for data loss unless such loss would not have occurred through reasonable data backup by the Provider.
8.4 Any further liability is excluded.
9. Contract Duration and Termination
9.1 The contract is concluded for an indefinite period and may be terminated by either party with 14 days’ notice to the end of the current billing month.
9.2 Either party may terminate the contract for good cause without notice. Good cause includes, but is not limited to:
9.3 Upon termination, the Provider’s account and published listings will be deactivated and deleted, subject to applicable legal retention periods.
10. Amendments to the Terms
10.1 Showroom.fm may amend these Terms to reflect changes in law, technical changes, or service enhancements. Amendments will be notified by email at least four weeks before taking effect.
10.2 If the User does not object in writing within two weeks of receiving the amendment notice, the amended Terms shall be deemed accepted. The notice will highlight the right to object and the consequences of failing to do so.
10.3 If the User objects, the contract continues under the previous Terms. Showroom.fm reserves the right to terminate the contract in such cases.
11. Governing Law and Jurisdiction
11.1 These Terms and any disputes arising from or in connection with the use of the platform shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
11.2 Exclusive place of jurisdiction for all disputes shall be Berlin, Germany, provided the User is a merchant, a legal entity under public law, or a special fund under public law.
